Preamble

 

These Terms and Conditions ("Terms") govern your use of the Zero-Code platform ("Platform") provided by ZeroCodeLabs OÜ ("Zero-Code"). By accessing and using the Platform, you are agreeing to these Terms. If you disagree with any part of these Terms, you are prohibited from using our Platform.

 

1. Definitions

 

1.1 "Contents" refer to all elements that make up the information on the Platform. This includes but isn't limited to text, images, videos, algorithms, software, widgets, and other materials.

   

1.2 "Company" refers to ZeroCodeLabs OÜ, a legal entity registered under the laws of Estonia, located at Pärnu mnt. 139c - 14, Kesklinna linnaosa, Tallinn, 11317, Estonia, and registered under the business number 16498054.

 

1.3 "Functionality" refers to the features and functionalities of the Platform designed to help users create, launch, and manage Web3 projects.

 

1.4 "Intellectual Property Rights" refers to all intellectual property rights and related rights protected under Estonian law, which includes but is not limited to copyright, trademark rights, patent rights, trade names, and databases.

 

1.5 "User" refers to any individual or entity that accesses and uses the Zero-Code Platform.

 

1.6 "User Account" refers to the personalized access granted to Users upon successful completion of registration on the Platform.

 

2. User Registration

 

2.1 To access certain features of the Platform, you may be required to register for a User Account. You are responsible for all activities that occur under your User Account.

 

2.2 You are responsible for maintaining the confidentiality of your account login information and are responsible for all activities that occur under your User Account. You agree to immediately notify Zero-Code of any unauthorized use or suspected unauthorized use of your User Account.

 

3. Use of the Platform

 

3.1 Grant of License: Zero-Code grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms.

 

3.2 Compliance with Laws: You must use the Platform in compliance with all applicable laws, regulations, and third-party rights. You are solely responsible for any consequences that may arise from your use of the Platform.

 

3.3 Prohibited Activities: You are prohibited from using the Platform for any illegal, unauthorized, or prohibited activities. This includes but is not limited to engaging in fraudulent behavior, distributing harmful or inappropriate content, infringing upon intellectual property rights, or interfering with the proper functioning of the Platform.

 

4. Intellectual Property

 

4.1 Ownership: All intellectual property rights related to the Platform, including but not limited to trademarks, illustrations, photographs, texts, comments, images, videos, sounds, and the architecture of the site, are owned by Zero-Code or its licensors.

 

4.2 Use Restrictions: You may not copy, reproduce, modify, distribute, transmit, display, perform, publish, license, or create derivative works from the Platform without the prior written consent of Zero-Code or the respective intellectual property owner.

 

5. Payment and Refund Policy

 

5.1 Our Services: At Zero-Code, we operate on a subscription-based model that presents three tiers of pricing plans to meet the diverse requirements of our customers - Start-up, Business, and Agency. We also offer personalized enterprise solutions for larger organizations.

 

5.1.1 The Alpha product is free of charge until the beta launch, and the pricing strategy for the beta version will be updated at a later stage.

 

5.1.2 Start-up Package provides access to features such as onboarding & training, Smart Contract Factory, Token Gater, No-Code Web Building Suite, Web App & IPFS Hosting, 5 hours of monthly consultation, standard analytics, and technical support with a response time within 2 business days.

 

5.1.3 Business Package includes all features from the Start-up package and additional benefits such as project deployment & management, a dedicated success manager, 10 hours of monthly consultation, advanced analytics, and quicker technical support.

 

5.1.4 Agency Package encompasses all features from the Business package plus unlimited projects, client account management tools, and technical support with a quick response time.

 

5.1.5 In addition to these, we have lower-priced services for creators that provide a DIY approach.

 

5.2 Payment: Payments are due at the start of your subscription period. We accept all major credit and debit cards, and other standard payment methods.

 

5.3 Cancellation: You may cancel your subscription at any time. The cancellation will take effect at the end of the current billing cycle.

 

5.4 Refunds: Following the regulations of Estonia and the European Union for digital services, Zero-Code adheres to a 30-day termination policy. If you cancel your subscription within the first 30 days, you are eligible for a full refund of the current billing period. After the 30-day period, no refunds are provided, and you are responsible for all charges in your billing period.

 

5.5 Changes in Pricing: We reserve the right to alter our fees and pricing structure. Any changes will be communicated to you at least one month before they take effect.

 

5.6 Late Payments: We reserve the right to suspend or terminate your access to our services in case of late or non-payment of fees.

6. Community Guidelines

 

6.1 If the Platform allows User interaction, you are expected to respect other Users and refrain from behavior that negatively impacts the user experience. Any form of harassment, bullying, or disrespectful behavior will not be tolerated.

 

7. Limitation of Liability

 

7.1 Disclaimer: The Platform is provided "as is" and "as available," without warranty of any kind, either express or implied. Zero-Code does not warrant that the Platform will be uninterrupted, secure, or free from errors.

 

7.2 Indemnification: You agree to indemnify and hold Zero-Code and its affiliates, directors, officers, employees, and agents harmless from and against any claims, damages, liabilities, costs, or expenses arising out of or in connection with your use of the Platform or any violation of these Terms.

 

8. Personal Data and Privacy

 

8.1 We respect your privacy and are committed to protecting your personal information. Your use of the Platform will be subject to our Privacy Policy, which is hereby incorporated by reference.

 

9. User Content

 

9.1 Some parts of the Platform may allow you to upload or post content ("User Content"). By posting User Content on our Platform, you grant Zero-Code a worldwide, royalty-free, non-exclusive, and transferable license to use, reproduce, distribute, and display the User Content in connection with the Platform and Zero-Code's business, including for promoting the Platform and redistributing part or all of the Platform in any media formats and through any media channels.

 

10. Third-Party Links and Services

 

10.1 The Platform may contain links to third-party websites or services, which are not owned or controlled by Zero-Code. Zero-Code has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

 

11. Disclaimers for User-Generated Content

 

11.1 Zero-Code does not control User Content and does not guarantee the accuracy, integrity, or quality of such Content. You understand that by using the Platform, you may be exposed to Content that you may find offensive, indecent, or objectionable.

 

12. Dispute Resolution

 

12.1 Any disputes arising out of or in connection with these Terms shall be governed by the laws of Estonia without regard to its conflict of law rules. You and Zero-Code agree to submit to the personal and exclusive jurisdiction of the courts located within Estonia.

 

13. Force Majeure

 

13.1 Zero-Code will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

 

14. Reporting Violations

 

14.1 If you believe that a user has violated these Terms, or you have noticed misuse of the Platform, please contact us at report@zero-code.io.

 

15. Business Transfers

 

15.1 In the event that Zero-Code is involved in a bankruptcy, merger, acquisition, reorganization, or sale of assets, your information may be sold or transferred as part of that transaction.

 

16. Governing Law and Jurisdiction

 

16.1 These Terms shall be governed by and construed in accordance with the laws of Estonia. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Estonia.

 

17. Severability

 

17.1 If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

 

18. Waiver

 

18.1 No waiver of any provision of these Terms by Zero-Code shall be deemed a further or continuing waiver of such provision or any other provision, and Zero-Code’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

 

19. Entire Agreement

 

19.1 These Terms constitute the entire

 

 agreement between you and Zero-Code in relation to your use of this Platform, and supersede all prior agreements and understandings.
